The Supermarket Depot sends payment to your bank account using an Automated Clearing House (ACH) or electronic funds transfer.

The Supermarket Depot is an online platform of in-store merchandising and marketing products for the grocery store industry. Our online store enables grocery retailers to lower costs and time required to procure merchandising products and many other items.

Terms & Conditions. The Supermarket Depot (TSD) marketing platform is available to most vendors looking to reach the grocery store industry. The following terms and conditions set forth the Marketing Agreement (Agreement) to apply to the relationship between you and TSD. You or your means the vendor, seller, distributor or other party accepting this Agreement. In order to participate in the Program, you must:

• Read, review and agree to the Terms and Conditions in this Agreement by accepting these terms below and clicking the Submit button at the bottom of this page. By clicking submit you acknowledge that you have read and understand the Agreement.
• Provide and keep all required information accurate and up to date, including but not limited to your e-mail address and billing contact information.

Amendment: Notice of Changes. We reserve the right to change the terms and conditions contained in this Agreement at any time and at our sole discretion by posting the revised terms on our website at THESUPERMARKETDEPOT.COM. BY CONTINUING TO ACCESS OR USE TSD AFTER THE EFFECTIVE DATE OF ANY MODIFIED TERMS, YOU AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO ANY MODIFICATIONS TO THIS AGREEMENT, YOU MUST IMMEDIATELY CEASE ALL USE OF TSD. You agree that TSD may revoke your participation in TSD at any time or remove any product without notice to you.

Step 1. Choose your product to be marketed. Decide what products you want to sell and provide us with a high-resolution jpeg image of those products. After that TSD will place your products in an existing category or TSD will build a category and add your products under those categories.

• Product details and descriptions: Your detailed description of your product, including size, color, manufacturing material etc. include key features with benefits. If your product includes a warranty please provide this detailed information. If you do not state your warranty with the description, the policy is that no warranty is provided.
• High-quality images: Provide as many different images as possible. We will add your product for you, just provide a high-resolution jpeg with clear details.

The Supermarket Depot may determine from time to time which Brand Owners and products we accept into TSD. TSD has the right to reject any Product you present or enroll, at any time for any reason in its sole discretion. Any Products that we place on the website are Accepted Products.

Step 2. Choose pricing. TheSupermarketDepot.com is all about convenience, but competitive pricing is also an important key to our success. In the email with the product description, you will provide us with your best pricing available, so customers can benefit from a money-saving shopping experience—and you can benefit from an increase in sales. By presenting a product for inclusion in TSD, you represent that in good faith you have an adequate supply of the product for the anticipated demand, which is also available for shipping. An Accepted Product must remain available in the program at the price you provide until a reasonable time after the product is removed or updated by email.

Step 3. You ship your products to Customers. TSD will notify you by email when an order has been placed through TSD, you simply pack, download the TSD label, apply it to the package and ship your item to the customer.

• Shipping Weights: Provide the exact shipping weight including the packaging, box, pallet etc. If shipping prices increases due to inaccurate weights, you agree that the difference in cost will be deducted from your payment. Please keep us updated if there are increases or decreases to product shipping weights.
• Product Delivery: When requested, you will download the provided label and ship the correct product and quantity in accordance with our shipping requirements. TSD will not be responsible for any products that you ship that are not properly labeled, or not otherwise in compliance with the shipping requirements.

Step 4. You Receive Payment. The Supermarket Depot deposits funds into your bank account, then notifies you that your payment has been sent.

• Taxes. Responsibility for Taxes. TSD never handles, controls or holds title to your product. You are responsible for identifying your Tax obligations in addition to the calculation, remittance, and reporting of all taxes concerning your product. The Supermarket Depot does not report or remit Taxes to any government on behalf of any vendor. Vendors remain responsible for any ongoing remittance and/or reporting requirements. The Supermarket Depot will not determine your tax obligation, whether taxes apply, and TSD will not be responsible to calculate, collect, report, or remit any taxes arising from any transaction. However, if a taxing authority requires TSD to pay any of your taxes, you agree that TSD will withhold them from any payment or if already paid, you will promptly reimburse TSD for the amounts paid.

Product Removal. You may request that TSD remove an Accepted Product from the Program by contacting us with confirmation by email from the named vendor contract, and telling us that you want to remove the Accepted Product. You agree that your product will be and remain available for sale at the pricing you chose under Step 2 until the product is removed from the website.

Product Returns. Notwithstanding anything to the contrary in this Agreement, TSD will be not responsible for any customer returns and refunds of any products sold by the vendor on/through The Supermarket Depot. All maters concerning your product are between you and the purchaser. TSD makes no representations concerning your products.

Term and Termination. The term of this Agreement will begin on the date you sign and click the Submit button at the bottom of this Agreement and will continue until we or you terminate this Agreement in accordance with this Section. We may terminate this Agreement at any time. You may terminate this Agreement at any time upon 30 days’ written notice by contacting us, with confirmation by email from the named vendor contact, and indicating your desire to terminate this Agreement (Termination Notice).

Indemnification. You will defend and hold harmless The Supermarket Depot (and our directors, officers, members, employees, agents and other representatives) from and against any and all claims or costs, including attorney fees, arising from or relating to your product, services, warranty and/or participation in this Program, and any claim made by a participate/customer in The Supermarket Depot including, but not limited to claims for product failure, personal injury, loss or damage of your participation in this Program and/or any and every kind or nature arising from or related to you products including your breach of this Agreement.

Disclaimer of Warranties. The Program is provided on an “as is” basis. We make no representations or warranties of any kind, express or implied, including without limitation: (a) the implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement; (b) that the Program or Thesupermarketdepot.com site will meet your requirements, will always be available, accessible, uninterrupted, timely, secure, or operate without error; and (c) any implied warranty arising from course of dealing or usage of trade. To the full extent permissible under applicable law, we disclaim any and all warranties. All products warranties are your responsibility and are provided by you alone.

Vendor Terms. The products that you present under the Program are your products (or the appropriate applicable term) under the Agreement, including for purposes of provisions related to your representations and warranties, and your indemnification and defense obligations, as applicable. TSD is simply a marketing tool and never has access to, possession of or any knowledge about your product, its description, function or warranty. So long as your product appears on TSD you agree to have an English-speaking call center that shall take calls and respond to purchasers of your product at least 8 hours a day, 5 days a week. TSD will refer all issues about your product to you for satisfactory resolution.

Limitation of Liability. To the maximum extent permitted by applicable law, in no event shall The Supermarket Depot be liable for any special, incidental, consequential, statutory, exemplary, punitive or other indirect damages or for any lost profits, lost or corrupted data or loss of use damages, even if it has been advised of the possibility of such damages. To the maximum extent permitted by applicable law, you agree that the company’s maximum aggregate liability arising out of this Agreement will not exceed fifty U.S dollars ($50) or the largest monthly payment amount you received in the last year before the date the claim was made, whichever is greater. This limitation shall apply to any and all liabilities or causes of action however alleged or arising, including, but not limited to, negligence, breach of contract, or any other claim whether in tort, contract, or equity.

Governing Law. This Agreement shall be governed in accordance with the laws of the State of Missouri without giving effect to any choice or conflicts of law. Any action, be it in law or equity or other judicial proceedings concerning this Agreement or actions arising out of or from the Agreement shall be instituted only in the State court in Clay County, Missouri. This jurisdictional provision shall survive any termination of this Agreement. In any action by or against TSD you agree to pay to TSD all of its costs, including reasonable attorneys fee to prosecute or defend the action.
